Corporate Governance Rules

This page lists the rules governing how the Institute operates as a corporation. Rules covering research activity are on Research Integrity — Regulations, and our editorial policy is on Editorial Governance.

Rules in force

All ten rules are in force. Four of them have draft revisions that the board has not approved, so those drafts are not in force. The article counts are those of the version in force, not of the draft. The Disciplinary Rules and the Misconduct Prevention Policy and Plan were adopted by decision of the representative director.

What each rule covers

Board Operations Rules

Powers of the board, convening procedure, quorum, resolutions, and minutes. The Institute has three directors, and a resolution requires at least two to attend. A director with a special interest in the matter is excluded from the quorum and from the vote (General Incorporated Associations Act, Article 95(2)).

Conflict of Interest Policy

Disclosure, review and approval for transactions between a director and the Institute, and between the Institute and closely related entities. Our representative director also heads Correlate Design LLC, and transactions between the two are handled under this policy.

Officer and Contractor Compensation Rules

How officer compensation and contractor fees are determined.

Donation Acceptance Rules

What donations we accept, what we do not, and how we disclose our relationship with donors.

Accounting Rules and Procedures

Accounting standards, handling of vouchers, and the closing procedure.

Disciplinary Rules

Grounds, types and procedure for disciplinary action against officers and those engaged in our work.

Misconduct Prevention Policy and Plan

Investigating causes when misconduct occurs, disciplining those responsible, implementing measures to prevent recurrence, and publishing what was done.

Harassment Prevention Rules

Definition of harassment, the consultation channel, and the investigation and response procedure.

Information Security Policy

Classification, storage and access control for the information we handle, and the response when an incident occurs.

Public Relations and Communication Guidelines

Notation, fact-checking and corrections in our external communication.

In preparation

Internal Whistleblowing Rules

In August 2026 we drafted rules for receiving, investigating and acting on internal public interest reports, following Article 11(1) and 11(2) of the Whistleblower Protection Act (Act No. 122 of 2004) and the guideline issued under it (Cabinet Office Notice No. 118 of 2021). The board has not yet approved them, so they are not in force. We will add them to this page once approved.

Obtaining the full texts

We hold the full text of each rule as an electronic file (Markdown). We can present the originals on request from auditors, investigators, or research partners.

Corrections

8 September 2026

We corrected the table of rules on three points.

1. The "last revised" column had approved and unapproved revisions the wrong way round. The four rules whose revisions the board approved (Board Operations Rules, Accounting Rules and Procedures, Officer and Contractor Compensation Rules, Harassment Prevention Rules) showed "—", while the four rules whose draft revisions the board has not approved (Conflict of Interest Policy, Donation Acceptance Rules, Information Security Policy, Public Relations and Communication Guidelines) showed a revision date. A reader would have taken the approval status to be the opposite of what it is. We split the column so that revisions in force and unapproved drafts sit in separate columns.
2. The article counts had been taken from drafts that are not in force. Donation Acceptance Rules 20 → 19, Information Security Policy 27 → 26, Public Relations and Communication Guidelines 23 → 17. The new figures count the version in force.
3. The article count for the Conflict of Interest Policy was blank. It is 12.

None of this changes the rules themselves. What changed is how this page presented them.
